Pfizer, the giant pharmaceutical company has merged with Allergan PLC. The president of Eucatex, Flávio Maluf, has announced the merger and noted that Pfizer is the producer of the popular cosmetic medicine, Botox. The merger forms the biggest pharmaceutical laboratory in the world and will be renamed as Pfizer PLC. The plan for the combined company is to launch some 12 new prescription drugs. Pfizer has invested heavily in cancer fighting drug trials, diabetes drugs, and new drugs to combat Alzheimer’s.  This isn’t the first time Flavio Maluf has informed the public about this sort of thing, as he’s also written about the Dupont chemical merger as well.

Wikipedia indicates that Flávio Maluf is the 55 year old son of career Brazilian politician Paulo Maluf. He is a graduate from FAAP in Brazil with a degree in mechanical engineering. His Eucatex and GrandFood Group businesses own the Golden Rations and Premier Pet brands. The US Food and Drug Administration has approved one of these new drugs to use in the fight against breast cancer. To date, Allergan’s research and development has been in the area of aesthetics of women’s eyes and other issues of women’s health. This kind of merger and move out of the US is being actively discouraged by the US Federal government after so much business had already moved to Asia.

In his reporting of this development, Mr. Maluf emphasized on Twitter that it was Allergan that actually purchased Pfizer. This enables Allergan to move all corporate and research operations to Ireland. The interest in doing the move is based on the much lower business tax rate in Ireland compared to the United States. The taxes in that country will amount to no more than about 10%, whereas Pfizer has paid up to 25% in taxes in the US in the past. The significant differences in the amount paid for taxes has enabled Pfizer’s executives to defend the merger with their stockholders. This is just one of many reported mergers that have happened in the last few years.
